California Residential Purchase Agreement FAQ

Is this the same as the C.A.R. residential purchase agreement?

No. The California Association of Realtors form is copyrighted and only available through member agents. This agreement covers the same ground in plain English: price, deposits, financing, contingencies, disclosures, liquidated damages and closing. If you are represented by an agent, expect them to use the C.A.R. form. If you are buying or selling directly, this one is written for you.

Which disclosures does a California seller have to give?

The agreement lists all seventeen: the Transfer Disclosure Statement (Civil Code §1102), Natural Hazard Disclosure Statement (§1103), lead-based paint for pre-1978 homes, the Megan’s Law notice (§2079.10a), Mello-Roos and special assessment notices, the earthquake and environmental hazards booklets, water heater bracing and smoke detector compliance, carbon monoxide detectors, water-conserving fixtures, the Seller Property Questionnaire, local option disclosures, industrial use, military ordnance, methamphetamine contamination, the property tax notice (§1102.6c), the title insurance advisory (§1057.6) and any wood-destroying pest report. The buyer initials that they were received.

Can I leave the price blank and let the seller fill it in?

Yes. Any blank you leave becomes a field the other party fills in when they open the link, and you see what they entered before anyone else signs. Most buyers fill in the price and deposit and leave the seller’s escrow choice and disclosure dates to the seller.

What does the liquidated damages clause do?

If the buyer backs out without a contingency to rely on, the seller keeps the deposit as their only damages, capped at 3% of the purchase price for a home the buyer meant to live in (Civil Code §1675). California requires both sides to initial that clause separately, which is why it has its own initials boxes.

How many days do the contingencies give the buyer?

You choose. The customary numbers are 17 days for investigation and loan and 17 days for appraisal, but a competitive offer often shortens them. Leave a blank and the seller can propose the count when they sign; you will see it before you countersign.

Can a wholesaler use this and then assign it?

The assignment clause lets you choose. Choose "may assign" and pair it with the Wholesale Real Estate Assignment Agreement in this library when you find your end buyer. Note that some sellers will strike the clause, and some cities and states now regulate wholesaling; check before you rely on it.

Does the buyer or seller pay the transfer tax?

The agreement lets you say. Custom varies by county: in most of Northern California the seller pays the county transfer tax and buyer and seller split escrow; in Southern California the seller usually pays both the county tax and the owner’s title policy. City transfer taxes (Los Angeles, San Francisco, Oakland, Berkeley and others) are often split.
