Limited Power of Attorney

I, [Principal: full name], of [Principal: address] (the “Principal”), being of sound mind, make this Limited Power of Attorney (the “Power”) and appoint [Agent: full name], of [Agent: address], telephone [Agent: phone], as my agent and attorney-in-fact (the “Agent”) for the limited purpose described below and for no other purpose. This Power is special and limited. It does not give my Agent general authority over my property, finances or affairs, and it does not authorise anyone to make health care decisions for me.

1. Specific Authority

I authorise my Agent to act for me, in my name and on my behalf, solely to do the following (the “Task”): [The specific task or matter]. The Task concerns the following property, account or transaction (the “Subject Matter”): [Property, account or transaction concerned]. Every act of my Agent under this Power shall relate to the Task and the Subject Matter, and any act that does not is outside my Agent’s authority.

2. Incidental Powers

To complete the Task, and only for that purpose, my Agent may: negotiate, sign, acknowledge, deliver, file and record any contract, deed, title, bill of sale, application, affidavit, closing statement, release, receipt or other document; pay money, and receive and give receipts for money and property, on my behalf; deal with and give instructions to any government agency, court, financial institution, insurer, title or escrow company, dealer, landlord or other person; engage and pay reasonable fees to attorneys, notaries, inspectors, shippers and other professionals needed for the Task; and do every other act reasonably necessary or convenient to complete the Task as I would do myself. My Agent may not pay, borrow or commit on my behalf more than [Maximum the agent may pay or commit on your behalf] in total under this Power, other than money received in the transaction itself and applied as I direct.

3. Term

This Power begins on [Power begins] and expires at the end of the day on [Power ends], unless I revoke it sooner. On expiry, my Agent’s authority ends without any further action, except that my Agent may complete the delivery of documents already signed and account to me. If I become incapacitated before the end date: [If you become incapacitated before the end date]. If the Power is not durable, it ends on my incapacity; if it is durable, it shall not be affected by my later disability or incapacity until it expires or is revoked. It ends in any event on my death.

4. Acts Not Authorised

My Agent may not: act in any matter other than the Task; make a gift of my property; transfer any property to the Agent or to anyone the Agent supports, or otherwise benefit personally from a transaction with my property, except a fee expressly allowed in Section 6; create, amend or revoke a trust, will, beneficiary designation or right of survivorship; delegate this authority to anyone else; or bind me to any obligation that survives the Task except one the Task necessarily involves.

5. Duties of the Agent

When acting under this Power, my Agent shall act in good faith, within the authority granted, and in my best interest; follow my instructions, and where I have given none, act as a prudent person would in the same circumstances; keep any money or property received on my behalf separate from the Agent’s own and deliver it to me promptly; keep a record of all acts, receipts and payments and give me an account within fourteen days after the Task is completed or the Power ends; and disclose the Agent’s status whenever signing for me, in the form “[Principal: full name], by [Agent: full name], attorney-in-fact” or a similar form.

6. Compensation and Reimbursement

My Agent’s compensation is: [Agent compensation]. My Agent is entitled to reimbursement of expenses reasonably and actually incurred in completing the Task, supported by receipts.

7. Reliance by Third Parties

Any person may rely on this Power, or on a photocopy or electronically signed copy of it, and on my Agent’s statement that it is in effect and has not been revoked, without inquiry, and a person who does so in good faith is released from liability to me and my estate for it. I agree to indemnify and hold harmless any third party from claims arising out of good-faith reliance on this Power, and I ratify every act of my Agent within its scope.

8. Revocation

I may revoke this Power at any time by a signed and dated writing delivered to my Agent. Revocation is effective as to a third party only when the third party has actual notice of it. If this Power has been recorded, the revocation shall be recorded in the same office. Revocation does not affect acts my Agent has already completed in good faith.

9. Additional Terms

The following additional terms and limits apply and control over any inconsistent provision above: [Additional terms or limits (or “None”)].

10. Governing Law; Severability; Copies

This Power is governed by the laws of the State of [Governing law (state)]. If any provision is held invalid, the remaining provisions shall be given full effect. A photocopy, scan or electronically signed copy of this Power is as effective as the original. This Power may be signed electronically, and the electronic execution record, timestamps and document fingerprints kept by the signing platform are evidence of execution; where the law of my state, a recorder’s office or a third party requires a notarial acknowledgment, witnesses or wet-ink signatures, I intend to complete those formalities on a printed copy, and that copy shall be my Power.

11. Signature of Principal

I sign this Limited Power of Attorney on the date shown in the execution record, having read it and understood it, freely and without duress or undue influence.

12. Acceptance by Agent

I, [Agent: full name], accept appointment as Agent under this Power. I understand that my authority is limited to the Task and the Subject Matter, that I owe the Principal the duties in Section 5, that I must stop acting when the Power expires or is revoked, and that I may be liable for acting outside my authority or in breach of those duties. I sign this acceptance on the date shown in the execution record.

Limited Power of Attorney FAQ

What is the difference between a limited and a durable power of attorney?

A limited power covers one task or matter for a set period and, by default, ends if you become incapacitated. A durable power is general, covers all your financial affairs, and is designed to keep working after you lose capacity. Use this one when you want to authorise a single thing and nothing more.

Can I use this to let someone sell my car?

Yes. Describe the vehicle by year, make, model and VIN in the task description, name the dealership or buyer if known, and set the dates. Most DMVs require the power to be notarised and some have their own form; check your state’s DMV site and bring both.

Can my agent sign at a real estate closing for me?

Yes, if the task describes the property and the transaction and the power is notarised and recorded. Tell the title company or closing attorney at least a week ahead; they often want to approve the wording and will record it with the deed.

Does it need to be notarised?

Not always by law, but nearly always in practice. Real estate, vehicle titles, banks and government agencies will not accept a power of attorney that is not notarised. Sign here so the agent’s acceptance is in the same document, then print and have it acknowledged.

Can I leave the task details for my agent to fill in?

You can leave the task description, dates and identifying details blank and your agent will fill them in when they open the link, and you will see what they entered before you sign. Be careful: the whole point of a limited power is that you decide its scope, so read what they wrote before you approve it.

How do I end it early?

Sign a written revocation and give it to your agent and to anyone who was relying on the power. The Revocation of Power of Attorney template in this library does that. Otherwise the power simply expires on the end date.
