Cleaning Services Agreement

This Cleaning Services Agreement (the "Agreement") is made between [Cleaner or company name] ("Cleaner") and [Client name or company] ("Client") for cleaning services at the [Type of premises] premises located at [Address of the premises] (the "Premises"). Cleaner and Client are each a "Party" and together the "Parties".

1. Services

Cleaner shall clean the Premises [Frequency], beginning on [First visit], at a day and time agreed between the Parties and confirmed in writing, which may be by text message or email (each, a "Visit"). Each Visit includes the following (the "Standard Services"): [Included in each visit].

The following additional services are available on request at the stated charges, and are performed only when Client requests them before the Visit: [Extras available at additional charge (or "None")]. Cleaner may decline tasks that are unsafe, that require moving heavy furniture or appliances, that involve bodily fluids, mold, pests or hazardous materials, or that require working above a two-step stool.

2. Supplies and Equipment

Supplies and equipment shall be provided as follows: [Supplies and equipment]. Where Cleaner provides products, they shall be of professional quality and Cleaner shall use products suitable for each surface; Client shall tell Cleaner in writing of any surface needing special treatment and any allergy or sensitivity. Where Client provides products, Client shall keep them stocked and Cleaner is not responsible for results the products cannot achieve or for damage a Client-supplied product causes to a surface.

3. Access and Keys

Cleaner shall gain access to the Premises as follows: [How the cleaner gets in]. Additional access information: [Alarm codes, pets, parking or other access notes (or "None")]. Client shall ensure that the Premises are accessible at the scheduled time, that alarms are disarmed or codes provided, and that pets are secured where they could be a danger or could escape.

Any key, fob or code Client provides shall be used only for scheduled Visits, kept in Cleaner’s secure possession, not copied or labelled with Client’s address, and returned or deleted when this Agreement ends. Cleaner shall notify Client immediately if a key or code is lost or compromised and shall reimburse the reasonable cost of rekeying or reprogramming in that event.

4. Price and Payment

Client shall pay Cleaner [Price per visit] for each Visit of the Standard Services (the "Price"), plus the stated charge for any additional services requested. Payment terms: [Payment]. Amounts unpaid more than fifteen (15) days after they are due accrue interest at one percent (1%) per month or the highest rate permitted by law, whichever is less, and Cleaner may suspend Visits until the account is current.

The Price assumes the Premises are in the condition found at the first Visit or an agreed initial deep clean. If the Premises require substantially more time because of their condition, an additional occupant, renovation, or a change in the Standard Services, Cleaner shall tell Client before proceeding and the Parties shall agree a revised Price. Cleaner may change the Price on thirty (30) days’ written notice.

5. Scheduling, Cancellation and Rescheduling

Client may cancel or reschedule a Visit without charge on at least [Cancellation notice (hours)] hours’ notice by text message, email or phone. A cancellation on shorter notice, or a "lockout" where Cleaner arrives at the scheduled time and cannot gain access, incurs a fee of [Late cancellation or lockout fee], which is due with the next payment. Cleaner shall give Client the same notice of any Visit Cleaner must cancel, and shall offer a make-up Visit within seven (7) days where practical.

Visits falling on a public holiday shall be rescheduled by agreement. If Client cancels more than three (3) consecutive scheduled Visits, Cleaner may release Client’s time slot and treat this Agreement as terminated.

6. Damage and Breakage

Cleaner shall take reasonable care of Client’s property and shall be responsible for damage caused by the negligence of Cleaner or its staff, up to the limits of Cleaner’s liability insurance, provided Client reports the damage in writing within forty-eight (48) hours after the Visit. Cleaner is not responsible for damage to items that were already broken, cracked, unstable or improperly installed, for wear from ordinary cleaning of aged surfaces, or for loss of cash, jewellery or other valuables left out. Client shall secure irreplaceable, fragile or valuable items before each Visit. Cleaner carries general liability insurance and shall provide a certificate on request.

7. Staff and Conduct

Cleaner may perform the Visits personally or through employees or contractors whom Cleaner has screened and trained and for whom Cleaner is responsible. Cleaner shall try to send the same person or team each time. Cleaner’s staff shall not use Client’s telephone, computer, food or personal items, smoke on the Premises, or bring unauthorised persons. Client shall treat Cleaner’s staff with respect and shall not require them to perform tasks outside this Agreement. Cleaner’s staff will not work in the presence of anyone who is abusive or unsafe.

8. Satisfaction

If Client is not satisfied with any Visit, Client shall notify Cleaner within twenty-four (24) hours and Cleaner shall return within three (3) business days to re-clean the areas in question at no charge. Re-cleaning is Client’s remedy for unsatisfactory work; refunds are not given for Visits completed. Cleaner may photograph completed work for quality records.

9. Independent Contractor; Non-Solicitation

Cleaner is an independent contractor, not an employee of Client, controls the manner and means of the work, and is responsible for its own taxes, insurance and staff. During this Agreement and for twelve (12) months after it ends, Client shall not hire or engage, directly or indirectly, any employee or contractor of Cleaner introduced to Client under this Agreement, other than through Cleaner. If Client does so, Client shall pay Cleaner a placement fee equal to twelve (12) Visits at the Price, which the Parties agree is a reasonable estimate of Cleaner’s recruiting and training costs.

10. Term and Termination

This Agreement begins on the date of the first Visit and continues until either Party terminates it on fourteen (14) days’ written notice for any reason. Either Party may terminate immediately by written notice if the other materially breaches this Agreement, including non-payment, unsafe conditions, theft, or abusive conduct. On termination, Client shall pay for all Visits performed and any fees due, and Cleaner shall return all keys and delete all codes within three (3) days. For a one-time service, this Agreement ends when the Visit is complete and paid for.

11. General

This Agreement is governed by the laws of the State of [Governing law (state)]. It is the entire agreement between the Parties about cleaning of the Premises and supersedes all prior quotes and discussions. It may be amended only in a writing signed by both Parties, which may be by email. If any provision is held unenforceable, the rest remains in effect. Neither Party is liable to the other for indirect or consequential damages, and Cleaner’s total liability under this Agreement shall not exceed the greater of Cleaner’s insurance limits and the amounts paid by Client in the preceding twelve (12) months.

This Agreement may be signed electronically and in counterparts, and the electronic execution record, timestamps and document fingerprints kept by the signing platform are conclusive evidence of its execution. Each person signing represents that they are authorised to bind the Party for whom they sign.

Cleaning Services Agreement FAQ

Who provides the cleaning supplies?

Either, and the agreement lets you choose. Most professional cleaners bring their own products and equipment, priced into the rate, because they know what works. Some clients prefer their own products for allergies or a specific brand; in that case the client keeps them stocked and the cleaner is not responsible for results those products cannot achieve.

What if the cleaner breaks something?

The agreement makes the cleaner responsible for damage caused by their negligence, up to the cleaner’s insurance limits, and requires the client to report damage within 48 hours of the visit. It excludes items that were already damaged, unstable or improperly installed, and asks the client to put away irreplaceable or fragile valuables before a visit. Professional cleaners carry general liability insurance for exactly this.

How much notice do I need to cancel a cleaning?

You set it; 24 or 48 hours is usual. Cancellations inside the notice window, and lockouts where the cleaner arrives and cannot get in, are charged a fee you also set, because the cleaner has reserved the time. Either side can end the whole arrangement on two weeks’ written notice.

Can I leave the address and access details blank for the client?

Yes. Any blank you leave becomes a fill-in field for the client when they open the link, and you see what they entered before you sign. Cleaners usually fill in the scope, frequency, price and cancellation terms and leave the property address, access method, alarm and pet details for the client.

Is my house cleaner an employee or a contractor?

A cleaner with their own business, their own supplies, multiple clients and control over how the work is done is an independent contractor, which is what this agreement describes. A cleaner who works set hours for one household under the household’s direction is usually a household employee, and the family owes Social Security, Medicare and possibly unemployment tax. The label in the contract does not decide it; the facts do.

What is a standard clean versus a deep clean?

The scope field is where you define it. A standard recurring visit typically covers surfaces, floors, bathrooms and kitchen; a deep clean adds inside appliances, baseboards, blinds and behind furniture, and costs more. The agreement lets you list the standard scope and the priced extras separately so there is no argument on the day.
